TERMS AND CONDITIONS

Deposit

The deposit must be received by Tiana Linden Films (Producer) before any work (including hiring of equipment) can take place. 

Cancellation and Postponement 

A postponement is defined as a rescheduling of the production to a later specific date caused or directed by Client. The project can be postponed once, if the date of filming is no sooner than 14 days away. If the job is happening within 14 days, it is likely that equipment has been hired and that it is too late to schedule another job in its place. Therefore there can be no postponement within 14 days of the scheduled shoot date. A cancellation after the payment of the deposit will always incur the loss of the deposit, except in exceptional circumstances.

Payment

Client understands final payment for the project is required on project completion. For any late payments, Client may be charged at the Producer’s discretion, an amount equal to the current prime rate +10% (as charged by Producer’s bank from time to time) on unpaid amounts until paid, compounded monthly. 

Changes to Brief

If at any time, Client desires to make any changes or variations from the completed project or from any material or work in progress, and such changes result in additional costs to Producer, including person hours, reimbursement for such additional costs shall be payable in accordance with the terms of this Agreement for final payment.

Quality

It is the essence of this Agreement that all completed media and services supplied by Producer shall be of applicable production standards. Producer agrees that the media shall be of quality, artistically produced with direction, photography, sound, art, animation, synchronization and other physical and aesthetic content as agreed upon in the Agreement. 

Non-Disparagement 

Neither party will at any time, during or after the expiration or termination of this Agreement, directly or indirectly, or in any manner make any statements or comments of a defamatory or disparaging nature to any third party regarding the other party or its affiliated or operating subsidiary companies or their respective owners, officers, directors, managers, employees or representatives, or of the policies, practices or products of any of the foregoing, other than as is required to comply with law.

Confidentiality

Producer acknowledges that Client may be irreparably damaged if confidential information concerning the business, operations, concepts, proposals or business plans of Client or its affiliated or operating subsidiary companies were disclosed to or utilised by or on behalf of others.

Ownership

Except as otherwise provided herein, Producer owns all rights, title and interest in and to all media(s) subject of this Agreement, including all copyrights therein, and may use any or all of the footage for promotional purposes.
